What is the difference between Hyster-Yale Class A and Class B stock?

Hyster-Yale Class A Common Stock is publicly traded and listed on the New York Stock Exchange under the ticker symbol HY. Each share of Class A Common Stock is entitled to one vote for each matter properly brought before the shareholders.

Hyster-Yale Class B Common Stock was issued in 2012 as a stock dividend to then current holders of NACCO Industries, Inc. Class A Common Stock in connection with the spin-off of Hyster-Yale from NACCO. Each share of Class B Common Stock is entitled to ten votes for each matter properly brought before the shareholders.

Class A and Class B Common Stock are equal in respect of rights to dividends and any other distributions in cash, stock or property of the Company.

Each share of Class B Common Stock can be converted into one Class A share. Class B shares are restricted and are not publicly traded.

A full description and terms of Hyster-Yale's Class A Common Stock, par value $0.01 per share, and Hyster-Yale's Class B Common Stock, par value $0.01 per share, are set forth in the Company’s Restated Certificate of Incorporation.
